Terms of Service

1. Introduction

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you”, “Client”, “Member”) and AI Executive LTD, a company registered in England and Wales (“AI Executive”, “we”, “us”, “our”). By purchasing any plan, accessing our platform, or using our services through joinaiexecutive.com or our third-party delivery platform (Whop), you agree to be bound by these Terms in full.

If you do not agree with any part of these Terms, you must not purchase or use our services.

We reserve the right to update these Terms at any time. Material changes will be communicated via email or platform notification. Continued use of our services after changes constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 18 years of age to purchase or access our services. By agreeing to these Terms, you confirm that you are 18 or older and have the legal capacity to enter into a binding contract.

3. Services Overview

AI Executive provides AI education, strategic frameworks, and advisory services for executives, managers, business owners, and M&A advisors. Our services are delivered through two primary plans:

3.1 Standard Plan — AI Executive Core

The Standard Plan is an annual subscription that includes:

• The 4-week AI Executive Program (self-paced course content, updated regularly)
• Access to the Artificial Assembly Line™ system and strategic frameworks
• Monthly group Q&A and coaching calls
• Access to the private executive community for networking and discussion

The Standard Plan is priced starting at $1,500 per year (excluding VAT where applicable), scaling up to $6,500 per year. Your membership price at the time of purchase is locked in for renewals at the same tier, provided your subscription remains active and uninterrupted.

3.2 Premium Plan — The Board Room

The Premium Plan is a monthly subscription that includes:

• Everything in the Standard Plan
• Exclusive weekly coaching calls
• Two 30-minute 1-to-1 consulting calls per month
• Access to a private executive chat
• Capped at 100 members

The Premium Plan is priced starting at $2,500 per month (excluding VAT where applicable). Pricing may increase with demand. Your price is NOT locked in for renewals. The Premium Plan requires a minimum commitment of 6 months.

3.3 Nature of Advisory Services

All consulting and advisory services provided under the Premium Plan are strategic in nature. AI Executive acts as a strategic partner — not as your AI lawyer, data privacy officer, legal adviser, or regulated professional. Our role includes helping you build out your AI vision, optimise strategic use of AI, refine workflows, and develop your personal brand within the AI space.

Your organisation remains solely responsible for its final legal decisions, data handling policies, and regulatory compliance. We recommend that all high-stakes AI deployments be reviewed by your own legal counsel for jurisdictional compliance.

4. Payments, Billing & VAT

Payments are processed through our third-party platform provider, Whop. By purchasing a plan, you agree to Whop's payment terms in addition to these Terms. All prices are stated in US Dollars and are exclusive of VAT unless otherwise indicated.

Where applicable, VAT will be charged in accordance with UK tax legislation. If you are a UK or EU business customer with a valid VAT number, reverse charge provisions may apply. It is your responsibility to account for any local taxes in your jurisdiction.

Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date.

5. Refund Policy

Our refund policy differs by plan. Full details are provided in our separate Refund Policy document. A summary is provided here for convenience:

5.1 Standard Plan — 30-Day Money-Back Guarantee

If you are not satisfied with the Standard Plan, you may request a full refund within 30 days of purchase, provided you have: (a) completed the core course content; (b) attended the monthly coaching call (or submitted questions and watched the recording); and (c) provided honest feedback. Refunds that meet these conditions will be processed with no questions asked.

5.2 Premium Plan — 14-Day Cooling-Off Period

Both the Client and AI Executive retain the right to cancel the Premium Plan contract within the first 14 days if either party feels the engagement is not a good fit. If cancelled within this period, a full refund will be issued. After the 14-day cooling-off period, the 6-month minimum commitment applies and no further refunds will be issued for that commitment period.

6. Intellectual Property

All content, materials, frameworks (including the Artificial Assembly Line™ system), course content, recordings, templates, and resources provided through our services are the intellectual property of AI Executive LTD and are protected by copyright and trademark law.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the materials for your personal and internal business purposes only. You may not:

• Reproduce, redistribute, resell, or share course materials with third parties
• Record, download, or screen-capture coaching calls, community discussions, or consulting sessions without prior written consent
• Use our materials to create competing products or services
• Sub-license or transfer your access to any other individual or entity

Breach of these intellectual property terms may result in immediate termination of your membership without refund, and we reserve the right to pursue legal remedies.

7. Community Guidelines & Acceptable Use

As a member of the AI Executive community, you agree to:

• Treat all members, staff, and guests with professionalism and respect
• Refrain from sharing spam, unsolicited promotions, or self-promotion without permission
• Keep all community discussions, member identities, and shared business information confidential
• Not engage in harassment, discrimination, or abusive behaviour of any kind
• Not share or distribute any content from private calls, chats, or community spaces without consent

We reserve the right to remove any member who violates these guidelines, at our sole discretion, without refund.

8. Communication

For Premium Plan members, primary communication will be asynchronous through WhatsApp. We guarantee a response time of under 14 hours, Monday through Friday (UK business days). This response time guarantee does not apply to UK public holidays.

9. Limitation of Liability

To the maximum extent permitted by law:

• AI Executive LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services
• Our total liability for any claim arising from these Terms shall not exceed the total fees you have paid to us in the 12 months preceding the claim
• We do not guarantee any specific business outcomes, revenue increases, cost savings, or competitive advantages as a result of using our services
• AI Executive provides education and strategic guidance — results depend on your implementation, market conditions, and numerous factors outside our control

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

10. Termination & Suspension

We may terminate or suspend your access to our services immediately, without prior notice, if you breach any of these Terms. Upon termination, your right to use our services ceases immediately.

You may cancel your subscription at any time through the Whop platform. Cancellation of the Standard Plan takes effect at the end of your current billing cycle. Cancellation of the Premium Plan is subject to the 6-month minimum commitment period.

11. Third-Party Platforms

Our services are delivered in part through third-party platforms including Whop, Google Calendar, and WhatsApp. Your use of these platforms is subject to their respective terms of service and privacy policies. AI Executive is not responsible for the availability, functionality, or policies of third-party platforms.

12. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer based in the European Union, you may also be entitled to use the EU Online Dispute Resolution platform.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and AI Executive LTD regarding the use of our services and supersede any prior agreements or understandings.
